Given all the trouble we've had with payment processing, I think we need<br />
a new Treasurer. The problem is that while a board member can be removed<br />
or resign, the bylaws of hcoop do not allow for a special election to<br />
replace any board member unless there is a majority of the board<br />
positions needing filled.<br />

I suggest we amend the bylaws Section 305 to strike the "and the total<br />
number of directors remaining is less than a majority of the number of<br />
seats," clause.<br />

It was suggested that we have a discussion about this before calling for<br />
a vote. Anyone have any thoughts on this or another possible solution to<br />
our problem?<br />
